TERMS OF USE – SHIPPING REQUEST PLATFORM

The Shipping Request and Bidding Platform (the “Platform”) is operated by Market Master Ltd. (“Market Master,” “we,” “us,” or “our”).
By accessing or using this Platform, you agree to be bound by these Terms of Use.
If you do not agree, you must not use the Platform.
1. Platform Role
Market Master Ltd. operates an online marketplace that allows registered users to:
- Post shipping requests
- Submit bids to haul goods
- Communicate offers
Market Master Ltd. is not a carrier, broker, freight forwarder, or transportation provider.
We:
- Do not transport goods
- Do not arrange transportation
- Do not guarantee performance
- Do not verify licenses, insurance, or qualifications of users
- Do not control pricing, availability, or fulfillment
The Platform merely facilitates communication between independent users.
All agreements are made directly between users.
2. Independent Parties
All users of the Platform are independent contractors.
Nothing in these Terms creates:
- A partnership
- An agency relationship
- A joint venture
- An employment relationship
- A brokerage relationship
Market Master Ltd. does not supervise, control, or direct any shipping services.
3. No Guarantee of Performance
Market Master Ltd. makes no guarantees regarding:
- Accuracy of posted shipping details
- Validity of bids
- Reliability of users
- Delivery timelines
- Condition of goods
- Payment fulfillment
Insurance coverage - Legal compliance
All transactions are undertaken at your own risk.
4. Limitation of Liability
To the fullest extent permitted under the laws of Alberta and Canada:
Market Master Ltd., its directors, officers, employees, and affiliates shall not be liable for:
- Loss of goods
- Damage to goods
- Personal injury
- Property damage
- Missed deadlines
- Lost profits
- Business interruption
- Fraud or misrepresentation by users
- Failure of a party to perform
- Disputes between users
- Payment defaults
- Regulatory violations
- Indirect, incidental, special, consequential, or punitive damages
In any event, the maximum liability of Market Master Ltd. shall not exceed:
The greater of:
- $100 CAD
OR - The amount of fees (if any) paid by you to Market Master Ltd. in the preceding 12 months.
5. User Responsibility
Users are solely responsible for:
- Verifying the identity of other parties
- Confirming insurance and licensing
- Drafting contracts
- Securing payment terms
- Ensuring compliance with provincial and federal transport laws
- Conducting due diligence
Market Master Ltd. does not verify:
- Carrier authority
- Commercial insurance
- Safety ratings
- Financial standing
6. Indemnification
You agree to indemnify and hold harmless Market Master Ltd. from any claims, losses, damages, costs, or legal expenses arising from:
- Your use of the Platform
- Your shipping transactions
- Your violation of these Terms
- Any dispute with another user
- Any third-party claim related to your conduct
7. No Endorsement
Listing a shipping request or submitting a bid does not constitute endorsement by Market Master Ltd.
We do not recommend, certify, or guarantee any user.
8. Disputes Between Users
All disputes must be resolved directly between the parties involved.
Market Master Ltd. has no obligation to mediate, arbitrate, or intervene.
We may suspend or terminate accounts at our discretion.
9. Account Suspension
Market Master Ltd. reserves the right to:
- Remove listings
- Cancel bids
- Suspend accounts
- Terminate access
Without notice if misuse or legal risk is suspected.
10. Assumption of Risk
By using the Platform, you acknowledge that transportation services involve inherent risks including:
- Damage
- Delay
- Theft
- Loss
- Regulatory issues
You accept these risks voluntarily.
11. Governing Law
These Terms are governed by the laws of:
Province of Alberta
and the federal laws of Canada applicable therein.
Any legal action shall be brought exclusively in the courts of Alberta.
